Terms of Service

These terms govern use of nteli.io and the Nteli Agent Pricing Engine (the "Service") provided by Nteli LLC ("Nteli", "we"). By creating a workspace or using the Service you agree to them on behalf of your company.

1. Accounts and workspaces

Sign-up requires a work email address; a workspace is created per company email domain, and people who sign up with that domain join their company's workspace. You are responsible for activity under your account. We may suspend workspaces that violate these terms.

2. Your content

Your company owns its workspace content — rule packs, quotes, configuration sessions, approvals, and audit records. You grant us the rights needed to host and process that content to provide the Service, and nothing more. We do not use your content to train AI models.

3. Credits and billing

Paid plans are billed by credits; one credit is consumed when a quote is submitted. Configuration sessions, explanations, and what-if exploration do not consume credits. Credit allowances, rollover, and tier limits are described on the pricing page. Fees are non-refundable except where required by law. Payments are processed by our payment provider; applicable taxes are added where required.

4. The engine decides from your rules — and that matters

The Service computes configurations and prices deterministically from rule packs that your team authors, imports, or approves. You are responsible for the correctness of your rules and for commercial decisions made using the Service's output. Quotes produced by the Service are your quotes. Nteli does not warrant that any price is commercially appropriate — only that it follows your rules, traceably.

Trial workspaces quote from a reference catalog with illustrative prices. Those figures are examples for evaluating the Service — they are not offers, quotations, or binding prices — until your company's own catalog is loaded and approved in your workspace.

5. AI assistants

If you connect an AI assistant (for example via MCP), your use of that assistant is governed by its provider's terms. The Service's numbers always come from the rules engine; conversational output from an assistant is not part of the Service.

6. Acceptable use

• No attempting to breach workspace isolation or access another company's data.
• No reselling or white-labeling the Service without a written agreement.
• No reverse engineering, except where law permits regardless of this term.
• No unlawful, infringing, or abusive use.

7. Intellectual property

Nteli owns the Service, including the engine, software, and site content. Your company owns its workspace content (Section 2). Feedback you choose to give us may be used to improve the Service.

8. Confidentiality

We treat your workspace content as your confidential information and will not disclose it except to subprocessors providing the Service, or where legally required.

9. Disclaimers and liability

The Service is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, Nteli's aggregate liability arising out of the Service is limited to the amounts you paid us in the 12 months before the claim, and neither party is liable for indirect, incidental, or consequential damages, including lost profits or lost revenue. Nothing here limits liability that cannot be limited by law.

10. Termination

You may stop using the Service and request workspace deletion at any time. We may terminate for material breach after notice, or suspend immediately for security or legal reasons. Sections 2, 7, 8, 9, and 12 survive termination.

11. Changes

We may update these terms; material changes will be announced to workspace admins by email with 30 days' notice. Continued use after the effective date is acceptance.

12. Governing law & arbitration

These terms are governed by the laws of the State of Texas, excluding conflict-of-law rules. Any dispute arising out of these terms or the Service will be resolved by binding arbitration in Austin, Texas, administered by the American Arbitration Association under its Commercial Arbitration Rules, on an individual basis — the parties waive class actions and jury trial. Either party may seek injunctive relief in court for intellectual-property or confidentiality breaches.
